Terms of Service

1. Services

Emerald Coast AI provides AI-powered marketing services to businesses, which may include advertising campaign management, search engine optimization, content and copywriting, chatbots and lead capture, marketing automation, social media management, AI voice reception, and website and landing page design.

The specific scope, deliverables, timeline, and fees for any engagement will be set out in a separate written proposal, statement of work, or service agreement. Where that document conflicts with these Terms, that document controls for that engagement.

2. Eligibility

Our services are intended for businesses and for individuals who are at least 18 years old and able to enter into a binding contract. By using our services, you represent that you meet these requirements and that you have authority to bind the business you represent.

3. Client Responsibilities

To deliver our services, we rely on you to:

• Provide accurate and complete information about your business
• Provide timely access to accounts, platforms, and assets needed for the work
• Review deliverables and provide feedback within agreed timeframes
• Ensure you hold the necessary rights to any materials, logos, or content you supply to us
• Comply with all applicable laws and platform policies in connection with the services

Delays caused by missing information, access, or approvals may affect timelines and are not our responsibility.

4. Fees and Payment

• Fees are set out in your proposal or service agreement.
• Recurring services are billed in advance on a monthly basis unless otherwise agreed.
• Invoices are due on receipt unless the agreement states otherwise.
• Advertising spend, platform subscriptions, and third-party costs are separate from our fees unless expressly included.
• We may pause or suspend services on accounts that remain unpaid past due.
• Unless stated otherwise in writing, fees are non-refundable once work has commenced for the billing period.

5. Text Messaging (SMS) Program Terms

By providing your mobile number and giving express consent, you agree to receive text messages from Emerald Coast AI.

• Consent is not a condition of purchase of any goods or services.
• Message frequency varies based on your interactions with us.
• Message and data rates may apply. Standard carrier rates apply to all messages sent and received.
• Reply STOP at any time to cancel. You will receive one confirmation message, after which no further messages will be sent.
• Reply HELP for assistance, or email hello@emeraldcoast.ai.
• Carriers are not liable for delayed or undelivered messages.
• You agree to notify us if your mobile number changes or is reassigned.

6. Intellectual Property

Our property. The website, its design, our processes, templates, tools, and any underlying methodology remain the property of Emerald Coast AI.

Your property. Content, logos, trademarks, and materials you provide remain yours.

Deliverables. On full payment, you receive ownership of, or a perpetual license to use, the final deliverables produced specifically for you, as set out in your service agreement. We retain the right to reuse general knowledge, techniques, and non-client-specific components.

Portfolio use. Unless you tell us otherwise in writing, we may reference our work for you and display non-confidential examples in our portfolio and marketing materials.

7. AI-Generated Content

Our services use artificial intelligence tools to produce content, recommendations, and automated communications. You acknowledge that:

• AI-generated output may contain inaccuracies and should be reviewed before publication or use
• AI systems may produce similar output for different clients, and we cannot guarantee absolute uniqueness
• You are responsible for final approval of any content published under your brand
• We use reasonable care in configuring and reviewing AI systems, but do not warrant that output will be error-free

8. Third-Party Services

Our services depend on third-party platforms, including advertising networks, customer relationship management systems, messaging providers, and hosting infrastructure. We are not responsible for outages, policy changes, account suspensions, pricing changes, or other actions taken by those providers. Your use of third-party platforms is subject to their own terms.

9. No Guarantee of Results

Marketing outcomes depend on many factors outside our control, including market conditions, competition, your offer, pricing, and platform algorithms. We do not guarantee any specific level of traffic, leads, rankings, conversions, revenue, or return on investment. Any figures or examples we share are illustrative and not a promise of results.

10. Disclaimer of Warranties

Our website and services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the website or services will be uninterrupted, secure, or error-free.

11. Limitation of Liability

To the fullest extent permitted by law, Emerald Coast AI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or related to these Terms or our services.

Our total aggregate liability for any claim arising out of or related to these Terms or our services will not exceed the total amount you paid us in the three (3) months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Emerald Coast AI from any claims, damages, losses, or expenses arising from your breach of these Terms, your misuse of our services, content or materials you supply to us, or your violation of any law or third-party right.

13. Termination

Either party may terminate an ongoing engagement with thirty (30) days' written notice unless your service agreement states otherwise. We may suspend or terminate services immediately for non-payment, breach of these Terms, or unlawful conduct. On termination, you remain responsible for fees for work performed through the termination date.

We do not require long-term contracts for our standard service packages.

14. Confidentiality

Each party agrees to protect the other's confidential business information and to use it only for the purposes of the engagement. This obligation survives termination.

15. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute will be brought exclusively in the state or federal courts located in Okaloosa County, Florida, and both parties consent to that jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the current version. Continued use of our website or services after changes take effect constitutes acceptance of the revised Terms.

17. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions stay in full effect. These Terms, together with our Privacy Policy and any signed service agreement, constitute the entire agreement between you and Emerald Coast AI.
